Terms and Conditions

Effective date: 20 August 2026. These Terms and Conditions (“Conditions”) set out the general commercial terms under which GWIH LIMITED (“Supplier”) provides Educational Technology Services and related professional services to business and institutional clients (“Client”). These Conditions apply to proposals, statements of work, change orders and related documents unless a signed master services agreement expressly overrides a provision. In case of conflict, the order of precedence is: (1) signed statement of work, (2) signed master agreement, (3) these Conditions, (4) website terms of service for online materials only.

1. Definitions

“Services” means computer systems design, custom computer programming, computer related consulting, learning management systems work, online education platforms, e-learning software development, educational software solutions, virtual classroom platforms, student management systems, course management software, web application development for learning, mobile learning applications, cloud education solutions, digital learning services, education technology consulting and related Professional Scientific and Technical Services.

“Deliverables” means materials, software, documentation, configurations and other outputs identified in a statement of work. “Background IP” means intellectual property owned or licensed by a party before the engagement or developed outside the engagement. “Foreground IP” means intellectual property created specifically for the Client under a statement of work.

2. Formation of contract

A contract is formed when the Client accepts a written proposal or statement of work by signature, electronic acceptance, or purchase order expressly referencing the proposal, and the Supplier confirms commencement. Website browsing alone does not form a services contract.

3. Supplier obligations

The Supplier shall perform Services with reasonable skill and care consistent with professional standards for Educational Technology Services in the United Kingdom, allocate suitable personnel, keep the Client reasonably informed, and seek to meet agreed milestones subject to Client dependencies.

4. Client obligations

The Client shall provide timely access to stakeholders, systems, content, environments and decisions; ensure it has rights to materials supplied; nominate an authorised representative; and obtain any learner or staff consents required for Supplier processing under Client instructions.

5. Change control

Changes to scope, timeline or fees require written agreement. Urgent production fixes may be authorised by email by the Client representative and later recorded in a change order.

6. Fees and payment

Fees are as stated in the statement of work, exclusive of VAT unless stated. Invoices are payable within thirty days unless otherwise agreed. Late sums may accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998. The Supplier may pause work for material non-payment after notice.

7. Intellectual property

Background IP remains with its owner. Upon full payment, Foreground IP in Deliverables created uniquely for the Client transfers to the Client, except that the Supplier retains Background IP, tools, frameworks, know-how and residual skills, and may use non-confidential general learning from the engagement. Open-source components remain under their licences.

8. Confidentiality

Each party shall protect the other’s confidential information using reasonable care and use it only for the engagement, with standard exceptions for public information, independently developed information, required disclosures and information received lawfully from third parties.

9. Data protection

Each party shall comply with UK data protection law. Where the Supplier processes personal data as processor, the parties shall execute a data processing schedule defining subject matter, duration, nature, purpose, types of data, data subjects and security measures.

10. Warranties and remedies

The Supplier warrants Services will substantially conform to the statement of work. Non-conforming Services reported within a reasonable acceptance window will be re-performed at no additional charge as the primary remedy. Except as stated and as required by law, all other warranties are excluded to the fullest extent permitted.

11. Liability

Subject to non-excludable liabilities, each party’s aggregate liability under a statement of work is limited to the fees paid or payable under that statement of work in the twelve months preceding the claim. Neither party is liable for indirect or consequential loss, loss of profits, or loss of goodwill. Nothing limits liability for fraud, or death or personal injury caused by negligence.

12. Term and termination

A statement of work continues until completion or earlier termination. Either party may terminate for material breach if uncured within thirty days of notice, or immediately for insolvency events. Upon termination the Client shall pay for Services performed. Provisions on IP, confidentiality, liability and governing law survive.

13. Non-solicitation

During an engagement and for six months thereafter, neither party shall solicit the other’s employees who materially participated, excluding general advertisements.

14. Force majeure

Neither party is liable for delay caused by events beyond reasonable control, provided they mitigate and notify promptly.

15. Publicity

The Supplier may reference the Client’s name and high-level project type in portfolios unless the Client objects in writing. Detailed case studies require approval.

16. Governing law

These Conditions are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to mediation.

17. General

If any provision is unenforceable, the remainder continues. These Conditions and the applicable statement of work constitute the entire agreement on their subject matter. Notices may be sent to dev.team@gwih.work and the Client email on record. Assignment by the Client requires consent; the Supplier may assign to an affiliate or successor.
